Terms of Service for academies
Version . These terms are between NextLao ("we", "us") and the business that signs up for TennisDesk ("you", "the Academy"). By creating an academy you agree to them. If you have a separate agreement with us that you both signed, that agreement controls where it differs.
1. What we provide
TennisDesk is online software for running a tennis academy: students sign up, buy lesson packs and book lessons; pros post lessons, take attendance and track hours; you see reports on hours, pay, court fees and payments. While your subscription is active we host it, apply security updates, fix reported problems and add general improvements we make for all customers.
We supply software only. We don't provide, supervise or inspect any lessons, courts, facilities or other activities you manage with it.
2. Free trial, price and billing
- Free trial. New academies get a 30-day free trial. A card is needed to start it. Nothing is charged during the trial; if you cancel before it ends, you pay nothing.
- Subscription. After the trial, your subscription renews automatically every month at the price shown when you subscribed, until you cancel. A promotion code you used applies only for the period it states.
- Cancelling. Cancel any time online: in the app, go to Billing → "Manage payment method & invoices" → Cancel. Your access continues to the end of the month you've paid for. We don't refund part-used months.
- Price changes. We'll give you at least 30 days' notice by email before changing your price.
- Late payment. If a payment fails and isn't fixed within 15 days, we may pause your academy until it is.
- Taxes. Prices don't include any sales tax that applies.
3. Your students' payments
Students pay you directly, through your own Stripe account. We never receive or hold those payments. Stripe's fees, refunds and chargebacks are between you and Stripe.
Optional card processing fee. If you turn on a card processing fee, you alone decide to charge it and you're responsible for following card-network rules and the law (for example, no fee on debit cards, and never more than your actual card costs).
Optional monthly auto-renewal. If you let students renew lesson packs automatically, you are the seller of those renewals. The app asks each student to agree before the first charge, emails them how to cancel, and lets them turn it off; you're responsible for complying with California's automatic renewal law and any other law that applies, and for refunds and disputes.
4. Your responsibilities
- Keeping your and your staff's passwords safe, and everything done under your accounts.
- The accuracy of what you enter: lessons, prices, levels, pay rates, court agreements and everything else. Reports such as hours, pay and court fees are tools to help; check them before relying on them.
- Your relationships with students, parents and pros: lessons, refunds, disputes, supervising minors, and all employment, payroll and tax matters.
- Court bookings and permits, facilities, equipment, safety, insurance, and any waivers or consent forms you need from students or parents.
- What you say in messages to students, and texting only students who agreed to receive texts.
- Using TennisDesk only for lawful purposes.
5. Your data
You own the information about your students, pros, lessons and payments. We use it only to provide TennisDesk and never sell it. We protect it with reasonable measures, including scrambled (hashed) passwords, encrypted payment keys and daily encrypted backups, but no system is perfectly secure. We'll tell you promptly if we learn of unauthorized access. On request, during your subscription or within 30 days after it ends, we'll give you a copy of your data; we may delete it 60 days after your subscription ends. We may use anonymous, combined usage information to improve TennisDesk.
6. Disclaimers and limits on our liability
TennisDesk is provided "as is" and "as available". To the fullest extent the law allows, we make no promises that it will be uninterrupted, error-free or fit for a particular purpose.
To the fullest extent the law allows, we are not liable for any injury, illness, death, property damage or other loss related to tennis or any other activity, lesson, event or facility, whether or not booked through TennisDesk; for wages, payroll, tax or employment matters; for any missed, double or incorrect booking, credit or payment; or for failures, fees or decisions of other services we rely on (such as Stripe, banks, hosting, email and text-message providers).
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, customers or data. Our total liability for all claims is limited to the fees you paid us in the three months before the claim arose.
You'll defend and compensate us for claims by students, parents, pros, staff or others arising from your lessons, activities, facilities or staff, your use of TennisDesk, the information you supply, payments or disputes with students or pros, employment or tax matters, or your breach of these terms or the law. Nothing here limits liability that the law doesn't allow to be limited.
7. Protecting TennisDesk
We own TennisDesk, its software and designs, including anything we build at your request. You may use it while your subscription is active. You won't, and won't let anyone else: copy, modify or reverse engineer it; or use it, its screens, recordings, designs, features or our non-public information to build or have built a product that copies or replaces it, including by giving them to a developer, a software company or any AI tool for that purpose. Give logins only to your own staff and students. If you suggest features, we may use your ideas for all customers without obligation.
8. Changes, suspension and ending
We may update TennisDesk at any time, and we'll give 30 days' notice before removing a feature you rely on for booking, payments or payroll reports. We may suspend an academy immediately for unpaid fees over 15 days, unlawful use, or use that threatens TennisDesk's security or other customers. We may update these terms; we'll email you at least 30 days before a change that affects you, and continuing to use TennisDesk after that means you accept it. Sections 4 to 9 continue after your subscription ends.
9. General
We're independent businesses; these terms don't create a partnership or employment. California law governs them. We'll first try to settle any dispute by talking in good faith for 30 days; after that, any lawsuit must be brought in the state or federal courts in California. If part of these terms can't be enforced, the rest still applies. You may not transfer your account without our written consent.
